1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of all products, services, platforms, mobile applications, and websites operated by Perisync Technologies Pvt Ltd under the brand nameTheWaterFirm ("TWF", "we", "us").

By accessing the TWF website, registering an account, using the TWF mobile application, activating the platform, permitting installation of TWF hardware at your premises, or entering into any service or subscription agreement with TWF — you ("User", "Customer") agree to be bound by these Terms in full.

If you are accepting these Terms on behalf of an organisation (Apartment Association, RWA, Company, or Builder), you represent that you have the authority to bind that organisation to these Terms, and "you" shall refer to that organisation.

If you do not agree to these Terms, do not use TWF's products, platform, or services.Contact support@thewaterfirm.com before proceeding if you have questions about specific terms.
2. Definitions
TermMeaning
"Platform"TWF's web application, mobile application (Android and iOS), APIs, dashboard, and all associated software and cloud services.
"Hardware"Smart water meters, gateways, hubs, sensors, and all physical components supplied by TWF.
"Services"All products, hardware, software, installation, data services, subscription plans, and support offered by TWF.
"User"Any individual or entity that accesses or uses the Platform, including Building Admins, Tenants/Flat Owners, Builders, and Commercial Customers.
"Building Admin"The authorised representative of an Apartment Association, RWA, or property management entity who manages the TWF account for a property.
"Tenant / Resident"An individual flat owner, tenant, or resident who accesses the Platform to view their water consumption data.
"Subscription"A recurring payment arrangement for access to TWF's end-to-end smart water metering service.
"Content"All data, text, reports, readings, analytics, and other material generated by or displayed on the Platform.
"Service Contract"The specific commercial agreement executed between TWF and the Customer governing a particular installation or subscription.
3. Who These Terms Apply To

These Terms apply to all categories of TWF Users:

  • Apartment Associations & RWAs — as the primary contracting entity and Building Admin for a property;
  • Individual Flat Owners & Residents — accessing the Platform to view personal consumption data and billing;
  • Builders & Developers — commissioning TWF systems for new or existing developments;
  • Commercial Property Owners — using TWF's metering solutions for commercial premises.

Where a Building Admin has accepted these Terms on behalf of a property, all residents and users granted access under that account are also bound by these Terms. The Building Admin is responsible for ensuring that all users under their account are made aware of and comply with these Terms.

4.Account Registration & Security

Access to the TWF Platform requires account registration. The following terms apply:

Registration
  • You must provide accurate, current, and complete information during registration. You are responsible for keeping your account information up to date;
  • Building Admin accounts are created by TWF during onboarding. Resident and tenant accounts are provisioned by the Building Admin or by TWF at the Building Admin's request;
  • You must be at least 18 years of age to register an account. By registering, you represent that you meet this requirement.
Account Security
  • You are responsible for maintaining the confidentiality of your login credentials. You must not share your password with any third party;
  • You are responsible for all activity that occurs under your account, whether or not you authorised it. Notify TWF immediately at support@thewaterfirm.com if you suspect unauthorised access;
  • TWF will never ask for your password via email, phone, or any support channel;
  • TWF reserves the right to disable any account if it suspects a breach of security or violation of these Terms.
5. Services Description

TWF provides an end-to-end smart water metering solution comprising:

  • Supply, installation, and commissioning of smart water metering hardware at the Customer's premises;
  • A cloud-based software platform accessible via web browser and mobile application (Android and iOS) for real-time consumption monitoring, billing, analytics, and reporting;
  • Automated billing data and consumption reports for Building Admins and individual residents;
  • Ongoing connectivity, data transmission, cloud storage, and platform maintenance (under subscription model);
  • Customer support and, under the subscription model, bi-annual preventive maintenance visits.
Service Availability

TWF makes reasonable efforts to maintain platform availability. However, TWF does not guarantee uninterrupted, error-free, or continuous access to the Platform. Scheduled or unscheduled maintenance, third-party infrastructure issues (including AWS, cellular networks, or SIM providers), and force majeure events may result in temporary unavailability. TWF shall not be liable for service interruptions caused by factors outside its reasonable control.

Service Modifications

TWF reserves the right to modify, enhance, or discontinue any feature or aspect of the Services at any time. Where a modification materially reduces core functionality, TWF will make reasonable efforts to notify active users via platform notification.

6. User Obligations

By using TWF's Services, you agree to:

  • Use the Platform and Services only for their intended purpose — monitoring and managing water consumption data for your premises;
  • Provide accurate information when registering, raising support requests, or communicating with TWF;
  • Maintain all TWF-installed hardware in good condition and comply with the obligations set out in the Product Warranty Policy;
  • Promptly report any damage, malfunction, connectivity issue, or suspected tampering with TWF hardware to support@thewaterfirm.com;
  • Ensure that all residents and users under your Building Admin account comply with these Terms;
  • Not interfere with, obstruct, or attempt to override the metering system or data reported by it;
  • Settle all subscription, AMC, or service fees by the due dates specified in the applicable Service Contract;
  • Cooperate with TWF during installation, maintenance, inspection, and replacement visits by providing safe access to all meter locations.
7. Prohibited Use

You must not use TWF's Platform, Services, or hardware for any of the following:

  • Any purpose that violates applicable Indian law, regulations, or court orders;
  • Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any TWF software or firmware;
  • Scraping, harvesting, or systematically extracting data from the Platform by automated means without TWF's written consent;
  • Attempting to gain unauthorised access to any other user's account, data, or any part of TWF's infrastructure;
  • Transmitting any malicious code, virus, or disruptive software through or to the Platform;
  • Using the Platform to store, transmit, or distribute content that is unlawful, defamatory, obscene, or harmful;
  • Sharing your account credentials with third parties, or creating accounts on behalf of others without their knowledge;
  • Tampering with, relocating, bypassing, or interfering with TWF's hardware, sensors, or communication equipment in any way;
  • Using data obtained from the Platform for commercial purposes not authorised by TWF in writing;
  • Impersonating TWF, its employees, or any other user;
  • Publishing or disclosing any other user's consumption data, billing data, or personal information without their explicit consent.
Violation of prohibited use terms may result in immediate account suspension, termination of Services, and legal action.TWF reserves all rights under applicable Indian law, including the Information Technology Act, 2000, against any prohibited use.
8. Intellectual Property

All intellectual property rights in TWF's Platform, software, firmware, hardware design, branding, content, documentation, and any other material produced by TWF vest exclusively with Perisync Technologies Pvt Ltd.

  • These Terms do not transfer any intellectual property rights to the User. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your own water consumption management purposes during the term of your subscription or service agreement;
  • The TWF brand, logo, and trademark are registered marks of Perisync Technologies Pvt Ltd. You may not use them without prior written permission;
  • Any feedback, suggestions, or ideas you share with TWF about the Platform or Services may be used by TWF without restriction or compensation;
  • Water consumption data associated with your account belongs to you. TWF may use aggregated, anonymised consumption data for internal analytics, research, and product improvement without identifying individual users.
9.Payments & Billing

All payment terms, subscription fees, AMC charges, and billing schedules are governed by the applicable Service Contract executed between TWF and the Customer. The following general terms apply:

  • All prices are in Indian Rupees and inclusive of applicable GST, unless stated otherwise in the Service Contract;
  • Subscription fees are due on the dates specified in the Service Contract. Non-payment may result in account suspension and warranty lapse as described in the applicable policies;
  • Payments are processed through authorised payment gateways (Razorpay, PayU, or equivalent). TWF does not store your full card or bank account details. Payment data is handled by the gateway provider under their own terms and PCI-DSS compliance obligations;
  • For automated recurring payments (e-NACH, UPI Autopay, e-Mandate), you authorise TWF to initiate deductions on the scheduled due date as per the mandate registered during onboarding;
  • Disputed charges must be raised with TWF in writing within 30 days of the relevant billing date. Charges not disputed within this window are deemed accepted;
  • Refunds and cancellations are governed exclusively by TWF's Refund & Cancellation Policy, available atwww.thewaterfirm.com/policies/refund-and-cancellation.
10. Third-Party Services

TWF's Platform and Services interact with third-party providers. The following applies:

  • Cloud Hosting (AWS): TWF's platform and data are hosted on Amazon Web Services (AWS). AWS's infrastructure is subject to AWS's own security and compliance terms. By using TWF's Services, you acknowledge that your data may be processed on AWS servers, which may be located outside India. TWF implements appropriate safeguards for such transfers in accordance with applicable Indian law;
  • Payment Gateway: Payment processing is handled by authorised third-party payment gateways (Razorpay, PayU, or equivalent). TWF is not responsible for the performance, security, or terms of the payment gateway. Use of the payment gateway is subject to that provider's terms of service;
  • Facility Management Integrations: Integration with third-party facility management platforms (e.g., ADDA, MyGate, ApnaComplex) is an optional add-on service subject to the terms of the relevant third-party provider. TWF does not guarantee integration availability and is not responsible for the performance of third-party platforms;
  • Telecom & Connectivity: Data communication relies on third-party SIM, cellular, and network providers. TWF is not responsible for connectivity failures, data loss, or service disruptions attributable to third-party network providers;
  • Links or references to third-party websites or services on TWF's platform do not constitute endorsement by TWF. TWF is not responsible for the content, security, or practices of any third-party website.
11.Suspension & Termination
Suspension by TWF

TWF may suspend your account or access to the Platform with or without notice if:

  • Subscription or service fees remain unpaid beyond the due date or grace period specified in the Service Contract;
  • You are in material breach of these Terms or the applicable Service Contract;
  • TWF has reasonable grounds to suspect unauthorised access, fraudulent activity, or security compromise involving your account;
  • Required by applicable law, court order, or regulatory direction.
Termination
  • TWF may terminate your account and access to Services upon material breach that remains uncured after notice, or upon the expiry or termination of the applicable Service Contract;
  • Upon termination, your access to the Platform ceases. Data associated with your account may be retained by TWF for a period as specified in the Privacy Policy and thereafter deleted in accordance with TWF's data retention practices;
  • Termination does not relieve you of any payment obligations outstanding at the time of termination.
Effect of Suspension
Suspension is not termination. During suspension, data may not be captured or accessible. TWF does not backfill data gaps created during the suspension period. Reactivation requires settlement of all outstanding dues and TWF's written confirmation.
12. Disclaimers

To the extent permitted by applicable Indian law:

  • Data Accuracy: Water consumption readings provided by the Platform are generated by metering hardware operating under Normal Operating Conditions. TWF does not warrant that readings are error-free in all circumstances. Readings may be affected by air trapping, scaling, pipeline conditions, connectivity gaps, or other operating factors as described in the Warranty Policy. Consumption data on the Platform is indicative and is not a substitute for a legally certified meter reading for billing disputes;
  • Platform Availability: The Platform is provided "as is" and "as available". TWF does not warrant uninterrupted, error-free, or secure access at all times;
  • Billing Data: Water billing amounts shown on the Platform are calculated based on meter readings and tariff rates entered by the Building Admin. TWF is not responsible for incorrect billing resulting from incorrect tariff rates, rate changes not updated on the platform, or readings affected by hardware conditions covered under the Warranty exclusions;
  • No Certification: TWF's smart water meters are IoT-based metering devices for consumption monitoring purposes. They may not be certified metrological instruments under the Legal Metrology Act, 2009 for official billing or legal dispute purposes unless specifically stated in the applicable Service Contract;
  • No Advice: Nothing on the Platform constitutes plumbing, engineering, legal, or financial advice.
13. Limitation of Liability

To the fullest extent permitted by applicable law:

  • TWF's total aggregate liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you to TWF in the three (3) months immediately preceding the event giving rise to the claim;
  • TWF shall not be liable for any indirect, consequential, incidental, special, or punitive damages — including loss of profit, loss of data, loss of business, property damage, or water damage — even if TWF has been advised of the possibility of such damages;
  • TWF shall not be liable for inaccuracies in consumption data caused by factors excluded under the Warranty Policy, or for billing disputes arising from tariff rates set by the Building Admin or Association;
  • Nothing in these Terms limits TWF's liability for death or personal injury caused by TWF's proven negligence, or for fraud, as such limitations are not permitted under Indian law.
Data Loss — Specific Exclusions

TWF shall not be liable for any loss, corruption, or unavailability of data arising from circumstances beyond its reasonable control or attributable to third-party infrastructure or Customer-side conditions. This includes, without limitation:

  • Data gaps or loss resulting from account suspension due to non-payment;
  • Data not captured during periods of gateway downtime caused by power failure at the Customer's premises;
  • Data transmission failures due to third-party cellular network or SIM provider outages;
  • Consumption data inaccuracies arising from meter operating conditions such as air trapping, mineral scaling, pipe fouling, or pressure anomalies — as described in the Product Warranty Policy;
  • Data loss arising from hardware failure where the cause falls under Warranty exclusions;
  • Loss of data stored on the Platform following account termination and expiry of the applicable retention period;
  • Any breach of security, data loss, or unauthorised access caused by the Customer's failure to maintain account credential security.
14. Indemnification

You agree to indemnify, defend, and hold harmless Perisync Technologies Pvt Ltd, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms or any applicable Service Contract;
  • Your misuse of the Platform, Services, or Hardware;
  • Any claim by a third party arising from your use of TWF's Services, including claims by residents or flat owners relating to billing data displayed on the Platform based on rates set by you;
  • Your violation of any applicable law or regulation;
  • Any damage to TWF's Hardware caused by your negligence, misuse, or failure to maintain the infrastructure as required under the Warranty Policy.
15.Governing Law & Dispute Resolution
Governing Law

These Terms are governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019.

Amicable Resolution

In the event of any dispute, the parties shall first attempt resolution through good-faith negotiation within thirty (30) days of written notice of the dispute.

Jurisdiction

Subject to the User's statutory rights under the Consumer Protection Act, 2019, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

Consumer Rights

Nothing in these Terms limits or excludes any right that an individual consumer may have under the Consumer Protection Act, 2019. Individual consumers may approach the appropriate Consumer Disputes Redressal Commission.

16. Updates to These Terms

TWF reserves the right to update these Terms at any time. The current operative version is always published atwww.thewaterfirm.com/policies/terms-and-conditions. Updates take effect upon publication. For material changes affecting user rights or obligations, TWF will make reasonable efforts to notify active users via platform notification. It is the User's responsibility to review the current Terms periodically. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
